Biography

Mohammed Shadaan Saipillai is a Senior Partner of Calibre Legal and a dual-qualified attorney with over 25 years of experience spanning general corporate, commercial and dispute resolution matters.  He is consistently recognised for his expertise, ranked by the prestigious Chambers and Partners and The Legal 500.

Shadaan advises multinational corporations and international educational institutions on India entry strategies, regulatory frameworks and compliance requirements. His transactional practice covers mergers and acquisitions, where he regularly conducts due diligence and drafts and negotiates definitive agreements.

He has also developed niche expertise in the shipping and maritime sector, advising on sale-and-leaseback transactions. He served on the Board of Intersea Maritime Limited as an Independent Director.

His disputes practice spans complex commercial litigation before Indian High Courts and the Supreme Court, as well as domestic and international arbitrations under leading arbitral frameworks, including ICC rules.

In the education sector, Shadaan advises higher educational institutions on compliance with University Grants Commission (UGC) regulations and governance matters.

In addition to being an Indian advocate, Shadaan is an England and Wales qualified solicitor (non-practicing) and holds an LLM in Banking and Finance from the prestigious Queen Mary University of London.

GO UMM Digital UK Limited, in relation to reviewing the Master Services Agreement with US based Axon Enterprise Inc., for design, development and implementation of a scalable AI-powered candidate scoring platform leveraging commercial grade LLMs.

Connexi, a US headquartered multi-national company, in relation to acquisition of 100% shares in Crown Agents Inspections Private Limited registered in India from its parent Crown Agents Limited based in the UK. The scope of work involved providing advise and assistance from an Indian law perspective involving reviewing and finalising the Share Purchase Agreement.

Government of Western Australia, in relation to setting up a Liaison Office in Chennai, India. The scope of work involved advising and assisting with RBI and FEMA regulations, liaising with the Authorised Dealer Bank and assisting with leasing transaction with the TAJ group of hotels.

Vridhi Maritime Private Limited, in relation to shipping and maritime laws including Bareboat Charter of Panamax Bulk Carrier, Chennai Valarchi. The scope of work involved advising in relation to the structure requiring incorporation of entities in GIFT city, Memorandum of Agreement for acquisition of the vessel, reviewing Term Sheet, Barecon and rider clauses to be executed with subsidiaries of Seamec International and Arete Shipping DMCC and reviewing and finalising Deed of Guarantee.

First Insight Inc, a US headquartered multi-national company, in relation in relation to establishing its wholly owned subsidiary in India including advising on FEMA and FDI regulations, incorporation of private limited company, leasing of commercial office space and general corporate and commercial law related matters.

RX Ventures, a US company, in relation to recovery of significant sums of money from an Indian company. The scope of work involved advising on Insolvency and Bankruptcy Code law and the Commercial Courts Act, filing a civil suit, initiating mediation and achieving resolution of the dispute and recovery of dues within six months.

GP Strategies, in relation to Indian employment laws and assisting with employee corruption and compliance investigations, drafting of show cause notices to employees.

Saif Al Jabari General Contracting &Transport Establishment (UAE), in relation to initiating an arbitration proceeding before the International Court of Arbitration and achieving a resolution of the high-stake commercial dispute.

B.S. Abdur Rahman Crescent Institute of Science & Technology, a leading engineering institution in South India in relation to UGC regulations and review and amendment of its Memorandum of Association and Bye-laws.

The Bankruptcy Administrator of a corporation based in Sweden, in relation to recovery of money due from a large Indian manufacturing company by instituting litigation proceedings before various courts and tribunals in Chennai and Mumbai under the Commercial Courts Act and the Insolvency and Bankruptcy Code.
